Terms of Service

1. Acceptance

By accessing our website, booking a call, or retaining our services you confirm that you have read, understood, and agree to these Terms. If you do not agree, you may not use our services.

2. Services

We provide retention marketing strategy, implementation, creative, and performance optimization across email, SMS, and related channels. The scope will be outlined in mutually agreed proposals, order forms, or statements of work.

3. Client Obligations

• Provide accurate information & timely approvals.
• Maintain access credentials for required platforms.
• Comply with all applicable marketing, data, and consent laws.

4. Fees & Payments

Fees, billing cadence, and performance-based components (if applicable) are defined in your agreement. Late payments may pause deliverables. All fees are exclusive of taxes unless stated otherwise.

5. Intellectual Property

We grant you a license to use deliverables (copy, design assets, flows) created specifically for you after full payment. Our underlying frameworks, methodologies, internal tools, and pre-existing materials remain our property.

6. Confidentiality

Both parties agree to safeguard confidential information and use it only for fulfilling the agreement. Exceptions apply to publicly available or independently developed information, or disclosures required by law.

7. Compliance & Legal Use

You are responsible for product claims, pricing representations, and audience targeting decisions. We implement best practices for deliverability and compliance but do not guarantee legal outcomes.

8. Disclaimers

Performance results vary. While we apply proven systems, we do not warrant specific revenue outcomes. Services are provided "as is" without warranties unless expressly stated.

9. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability under any agreement shall not exceed the fees paid in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages.

10. Termination

Either party may terminate with written notice per the agreement terms. Upon termination, accrued fees become due and certain clauses (confidentiality, IP, limitation) survive.

11. Modifications

We may update these Terms. Material changes will be posted with a revised effective date. Continued use after updates constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of Croatia, without regard to conflict of law principles. Disputes will be resolved in the competent courts located in Croatia unless otherwise required.
